Gretis Software and Mobile Application End User License Agreement

This EULA governs Gretis software and mobile applications supplied as part of Gretis services, including the Gretis ESS/mobile application and related connectors or interfaces. ESS/mobile services are supplied with the applicable ERP/service environment unless Gretis expressly offers a standalone product.

Subject to payment and compliance, Gretis grants an authorised User a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software during the period the User is authorised to access the applicable Service. Ownership is not transferred.

Users must protect credentials, use only authorised accounts, maintain reasonable device security and report suspected compromise. Customers are responsible for their authorised Users and access policies.

Users must not reverse engineer, decompile or disassemble except where law prohibits restriction; bypass security; extract source code or keys; interfere with APIs; use bots or scraping that materially burdens systems; introduce malware; impersonate Users; use mock-location or technical manipulation to defeat attendance/geofence controls; falsify attendance; remove proprietary notices; or resell, sublicense or distribute the Software.

Where enabled, the App may use device location for attendance, geofencing or on-duty workflows. Collection and use are described in the Privacy Policy and applicable Customer policies. Device operating systems may restrict background operation, location accuracy, notifications or battery use.

Gretis may issue security, compatibility, bug-fix and feature updates. Some updates may be required for continued use.

The Software may contain third-party or open-source components subject to their own licences. No ownership of such components is transferred.

Gretis and its licensors retain rights in the Software except rights expressly granted. Customer ownership of custom source code or deliverables is governed by the applicable development SOW and occurs after full payment where agreed.

Personal data is governed by the Gretis Privacy Policy. Customer Data processed on behalf of a Customer is governed by the Customer agreement and DPA.

Gretis will provide Software services with reasonable care and skill. Any specific warranty in an Order/SOW applies. Otherwise, to the maximum extent permitted by law, Gretis does not guarantee uninterrupted or error-free operation.

Gretis uses reasonable technical and organisational measures. No software or network can guarantee absolute security or uninterrupted availability.

Access may be suspended for security attacks, unlawful use, fraud, serious abuse or suspension/termination of the underlying service. The licence ends when the underlying right to use the Service ends.

Gretis does not claim ownership of Customer HR, payroll, attendance or business records entered into the Service. Customer ownership and access are governed by the Customer agreement.

Apple, Google and device manufacturers are third-party platform providers and are not parties to this EULA. Their own terms may also apply.

For Customers under the Master Agreement, its liability provisions apply. For standalone Users, liability is limited to the maximum extent permitted by law and, subject to non-excludable liability, to amounts paid directly by the User for the relevant Software transaction during the preceding 12 months.

Gretis may update this EULA where reasonably necessary. Material changes will be communicated through the applicable service or account.

Indian law applies. Customer disputes follow the Master Agreement. Standalone disputes are subject to courts having competent jurisdiction at Panchkula, Haryana, subject to applicable law.
